Terms of Service

The agreement between you and CC Upturn Ventures UG (haftungsbeschränkt).

These Terms govern your use of makethemcall.com and the makethemcall service ("the Service"). By engaging us, or otherwise using the Service, you agree to these Terms. If you don't agree, please don't use the Service.

1. The Service

makethemcall runs advertising campaigns on Meta (Facebook and Instagram) on your behalf, captures the enquiries those campaigns produce, and answers them by WhatsApp from your own business number. You see every enquiry and conversation in our web application.

Campaigns run inside your Meta Business account and are paid for on your card. You grant us access to your Facebook Page, ad account and WhatsApp Business account, and you can withdraw that access at any time. Website rebuilds, social content and Google Ads are optional add-ons, quoted separately.

2. Scope

After an introductory call we agree a scope in writing: which campaigns we run, what we spend on your behalf, and what we reply to enquiries with. Nothing starts until you have approved that scope.

Advertising spend is billed by Meta to your own card, in your own ad account. Our fee is separate and is invoiced monthly.

3. Fees

• Monthly fee: agreed in writing before work begins, invoiced monthly. No commission and no share of your revenue.

Prices include VAT where applicable. Payments are processed by Revolut Bank UAB.

4. Money-back guarantee

If you're not satisfied within 30 days of your first invoice, write to hello@makethemcall.com for a full refund of our fee for that period. Advertising spend already paid to Meta cannot be refunded by us. On request we export your enquiry data and then delete it within 30 days.

5. Cancellation

You can cancel your monthly subscription at any time by emailing hello@makethemcall.com. Cancellation takes effect at the end of the current billing period. After cancellation, your site stays online for 30 days then is permanently removed. Your phone number, custom domain DNS records, and Google Business Profile remain yours.

6. Your content

You own all text, images, branding, and other materials you provide to us ("Customer Content"). You grant Make Them Call a limited, non-exclusive licence to host, copy, modify, and display the Customer Content solely for the purpose of operating the Service.

You confirm you have the rights to all Customer Content you submit and that it doesn't infringe anyone else's rights. You're responsible for the legality of Customer Content.

7. Acceptable use

Don't use the Service to publish illegal content, infringe intellectual-property rights, send spam, distribute malware, or attempt to gain unauthorised access. We can suspend or terminate accounts that breach this section without refund.

8. Service availability

We aim for high availability but the Service is provided "as is" without uptime guarantees. We carry out maintenance windows and may pause access briefly when needed; we'll give reasonable advance notice for planned downtime.

9. Liability

To the maximum extent permitted by law, CC Upturn Ventures UG's total aggregate liability for any claim arising out of or in connection with these Terms is limited to the fees you paid us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect or consequential losses, lost profits, or lost data.

Nothing in this section limits liability for: (a) damages caused by intent or gross negligence, (b) personal injury, or (c) statutory product-liability claims, where excluding such liability is not permitted under German law.

10. Changes

We may update these Terms. Material changes will be emailed to active customers at least 30 days before they take effect. Continuing to use the Service after a change means you accept the new Terms.

11. Termination

Either party can terminate the agreement at any time. Make Them Call may terminate immediately if you breach these Terms. On termination, sections 6 (your content), 9 (liability), 12 (governing law), and any unpaid fees survive.

12. Governing law and jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Exclusive place of jurisdiction for disputes arising from this agreement is Berlin, Germany, to the extent permitted by law.

If any provision of these Terms is found unenforceable, the remaining provisions stay in effect.
